INVEST SOLAR: Invest Solar – Havara Solar plant (Registration Number BW00001381192) acquired 70% by ECS Private Equity registered on the 03rd of March 2017 Re registered in 2020 , 90 million shares held within company – Majority Ecsponent Botswana Limited , now known as Ecsponent Equity Botswana Limited holds 63 million – MHMK Group Botswana holds 4 million -Garekwe Dudu holds 2 million shares – Makacana Tebogo holds 1 million shares – Jyrki Ilmari Koskelo holds 10 million shares- Walter Kambwanji holds 2.5 million- Dirk Harbecke holds 2.5 million shares – Brian Chindondondo holds 1.5 million shares – Julian Thatcher holds 2.25 million – Thembelihle Munowenyo holds 1.25 million shares.
Ecsponent Limited invests R90.8 million into Invest Solar during on 29 June 2018 for 80%, Page 5 of 10 in the Directors Report.
The first time they appear on the balance sheet is in 2020 as 70% held. 2020 Financials they make a loss of R40 193 988.00. In 2021, they make an additional R33 426 993 Loss.This company has actually cost Investors over R160 million.
There is a discrepancy overlapping the 2020 and 2021 Financial report – 2020 R40million loss reflected on the 2021 as R53 056 064.00 a difference of over R12 862 076. – Could this be a misstatement or just another auditing error to create lager debt as an excuse to convert debt into equity
Circular notice sent out to investors, Monday, 13 December 2021 acquisition of 70% of Invest Solar Africa, acquired 70% of the ordinary share capital of Invest Solar Africa Limited from George Manyere, a company also incorporated in Botswana.

MYBUCKS DEBT: Invest Solar owes Mybucks R12 064 000.00 represented as a Repayable Note shall be secured by the holdings of the Issuer’s related affiliate, Zahra Investment Trust being 49% shareholding (23,643,134 ordinary shares) in Invest Solar Zimbabwe Limited.
Ever Prosperous Worldwide Limited: A loan to the value of R133 100 000.00 The facility is secured by shares in Invest Solar (Private) Limited (“ISA”), a personal guarantee by Mr G Manyere as well as the equipment purchased using the facility by Harava Solar Park.
Norsad Finance (Botswana) Limited: A loan to the value of R90 228 000.00 The facility is secured by shares in Invest Solar Africa as well as the equipment purchased for the Harava Solar Park using Funding of the Harava Solar project.
Afristrat Buys shares in Invest Solar Africa for a total of R90.8 Million .
Invest Solar Africa makes losses of R83.7 for the first 2 years
Invest Solar is further in debt to the above companies to the value of R235 392 000.00
An investment into a bank of R90 Million would have generated a conservative at 6.5% per annum would have resulted in R487 500.00 per month and over R5.8 Million per year.
The company has conducted their business with the significant influence of George Manyere, the accountant Tertius de Kock and other directorship of Terence Gregory, Brandon Topham and others have created a demise of a well-orchestrated plan.
